Merrill Lynch Bonuses Were 22 Times the Size Of AIG's

Dennis Kucinich sent out a round of letters to top Treasury officials Monday morning, questioning how much they knew about bonuses paid to Merrill Lynch executives that totaled $3.62 billion, nearly 22 times the total bonuses paid to AIG executives. The payouts made up more that 36 percent of the TARP funds the financial institution received from the Federal government.

Kucinich points out that unlike AIG, the bonuses were not locked in by preexisting contracts and were performance bonuses, as opposed to retention bonuses.

The Merrill bonuses were 22 times larger than those paid by AIG ($3,620 million versus $165 million). They were also very large relative to the TARP monies allocated to Merrill. The Merrill bonuses were the equivalent of 36.2% of TARP monies Treasury allocated to Merrill and awarded to BOA after their merger. The bonuses, awarded mostly as cash, were made only to top management at Merrill. To be eligible for the bonuses, Merrill employees had to have a salary of at least $300,000 and attained the title of Vice President or higher.

The Merrill bonuses were determined by Merrill's Compensation Committee at its meeting of December 8, 2008, shortly after BOA shareholders approved the merger but before financial results for the Fourth Quarter had been determined. This appears to be a departure from normal company practice, since the type of bonus Merrill awarded was a performance bonus that, according to company policy, was supposed to reflect all four quarters of performance and was paid in January or later. In this case, however, the bonuses were awarded in December before Fourth Quarter performance had been determined.

In his letter, Kucinich questions how much information about these bonuses was made available to shareholders, as well as the government.

BOA had knowledge of and influence over Merrill's intent to pay out bonuses even before BOA took control of Merrill. According to the merger agreement of September 15, 2008, Merrill's bonus awards were to be made "in consultation with [Bank of America]." In an undisclosed attachment to the merger agreement, made public only recently by the Attorney General of New York State, Bank of America permitted Merrill the right to award up to $5.8 billion for calendar year 2008 performance.

While prior to the merger BOA knew of Merrill's intent to award billions of dollars in performance bonuses before the Fourth Quarter earnings were calculated, BOA did not disclose the details it possessed about the Merrill bonuses and the unusualness of the timing of those bonuses to its shareholders prior to their vote on the merger.

This raises important questions about what you knew about the Merrill bonuses, and what you did with your knowledge. If ordinary BOA shareholders were ignorant of the details of the Merrill bonus arrangement, was the U.S. government as well.

It seems to me these guys think that they deserve a bonus no matter where the money came from

it's all a big scam anyway and the American Government is just the most recent to get taken. That money is a reward for cookin up the scheme to get the bailout money. Get it now? This is why right now America is a laughing stock in the eyes of the rest of the world. How fucking stupid can you be? Obama a genius? That's rich really rich.
You could send a manned space flight to mars and back with that kinda money. You could make the sun spin in reverse, you could give a post secondary education to a generation, provide health care for all for the next 5 years, build 1500 top notch hospitals fully loaded, build 3000 seniors centres, build 3000 k-12 schools, build mass transit nationwide, build national grid with renewable energy..........our productive capacity if virtually limitless....SOCIALISE OWNERSHIP AND DEVELOP A RATIONALLY PLANNED DEMOCRATICALLY ADMINISTERED ECONOMY with full employment for all and a surplus for a rainy day....

There is no other answer than that do dealing with this level of scum.

They have shown that they have no concept of decency morality or society, and by their actions they have shown they couldn't careless about us... the only answer to to remove them... permanently.

A 90% tax on that money would be entirely appropriate.

The firm would have become insolvent without the government bailout and these people would not only have not received their 2008 bonuses, they wouldn't have JOBS.

This article is a little too "shorthand" and doesn't make clear that Merrill is now owned by Bank of America, the recipient of the TARP money.

A lousy bank anyway - if you're stuck there you can do better.

He was the best Democrat of the bunch and I voted for him in the primaries. If more Democrats were like him and not playing KISSYFACE with AIG, I'd take this party seriously.

Reason I voted for him in the MI Primary Debackle- Of course my vote was stolen by Hillary's minions (Levin).
I'm not sure who sickens me more the Blatantly Treasonous Red Coats, or their covert operatives lurking in the Dem party.
This is the only Public Servant who does not appease the party 'leadership'(aka their Corp Overlords) in his duties and responsiblities to Protect & Defend the Constitution and thus US.
I have been stunned by those who still supported Nadar- someone who only crawls out from under his rock to fuck up a presidential election- Talks cheap Ralphie boy- what have you done for US since the '60's..Absolutely nothing of merit. And as for those who fell for Barrs Rouse, I realized 'Libertarians' are just as easily deceived. That SOB spent more time obsessing and fantasizing about Bill's BJ then doing his job...Hell he even made Nadar look less complicit with the attempt to siphon off Dem Voters- to hand the Red Coat Repugs another 'win'.
Dennis is one of theFew people who understands - like our Founders- that the socialistic ideals of a True democracy can work hand & hand with a Free Market- But it takes Balance and The 3 Branches of Gov't are meant to be that Ballast. In fact he seems to be the only one in all three branches to recognize 'For and By the people' was regarding 'We the Peoples' right to participate in the Democratic process AND the Free market- What a Socialist!

Moral Hazard

This story about bonuses, and another article in AlterNet today about Newt Gingrich both involve the concept of "Moral Hazard".

If we reward, or even bail out, poor performers then there is no incentive for them or anyone else to try to do better work in the future.

The same goes for personal trangressions and the Catholic idea of absolution. "its ok, you are forgiven, and you will be next time too".

No, this isn't the way to go.

Now I'm fresh out of outrage! These guys keep using it all up. I just hope this news hits the mainstream media just as hard as AIG's taxpayer supplied bonuses did. I wouldn't know, though. I don't touch the stuff.

I just have to wonder about these folks. I don't see how they can look themselves in the mirror. Times like these make me miss being Catholic--at least I'd find comfort believing they'd burn in hell! I think Dante wrote that the usurers got their own level of hell way down close to the bottom. Sounds about right!

When the overwhelming majority of so-called news or “information” comes from Fox TV and similar talking heads and “we” – that’s you and me – call this DISCLOSURE what do we expect…? Sadly the vast majority of American’s have been “dumbed-down” to believe only what is spoon fed to them in pabulum forum by for-profit corporate owned mass media. For reasons, I do not pretend to comprehend, the Merrill-Lynch theft of tax-payer money was allowed to silently slide under the radar screen, and the American public was none the wiser until far after the fact by then believing it was much too late to take any definitive action. We will only KNOW after we choose to get off our butts and demand and accept nothing less than full, open, honest, timely DISCLOSURE.

When our Congress deregulated the financial industry, they neglected to eliminate the criminal statutes against misrepresentation. It's still fraud.

Issuing a mortgage with no due diligence, bundling it with like junk, and selling it as AAA-rated securities is misrepresentation.

There should be a steady stream of prison buses leaving Wall Street for Federal penitentiaries. Instead we are handing these criminals money, and then act all surprised when they take the windfall and run with it.

This has got to stop. Institutions and individuals which committed crimes must be brought to justice.

I think after the AIG bonus outrage, and the associated corporate looting, e.g., the criminal complicity of Sen. Christopher Dodd in writing up a loophole for AIG execs' exorbitant bonu$e$ (and Dodd is one crook that not only has been in the House of Lords way too long, but should have the Ethics committee start the process of 'de-Senatizing' him.)

Besides sweeping out the proverbial manure-filled 'Congressional Barn' - we've all gone thru enough collective outrage - the point NOW is to find out who these greedy corporate thieves are.

BECAUSE, we've suffered through before and did NOTHING! Like sheep, we merely watched while corporate larcenty dominated the headlines back in the early 2000s. WE sat idly glued to our TVs watching crooks from Enron, WorldCom, Tyco, Adelphia, and others satisfy their perverse kleptolagniacal urges, looting and bankrupting the pensions of average working Americans.

And so, I personally am declaring a personal course of positive, results-oriented action. And to start, using Sun Tzu's dictum "Know your enemy," it looks as if I'll have to sift through a pile of Forms 10-K, 10-Q, 8-Q etc...

BUT WAIT! I JUST STUMBLED ONTO THE AFL-CIO's

AFL-CIO 2008 EXECUTIVE PAYWATCH A quick check on that paradigm of accuracy - Wikipedia - showed no criminal antics or corruption stories for the AFL-CIO's entry, so I'm going to go out on a limb and assume the AFL-CIO is an honest broker in evaluating the financial-meltdown corporate looting fiasco.

When I'm finished with this exciting task, I'll post updates if relevant (I'm gonna dig into the AFL-CIO managment's salary info too.)

Common Sense dictates a follow-up to this study. This is no mere academic exercise, it's a STARTING POINT FOR ACTION! Thus, I suggest that when we finally do succeed in 'outing' these modern day 'Greed is Good Gordon Gekkos', what do we do with them?

Well, since tarring & feathering someone these days - no matter how reprehensible the potential 'tar-ees/feather-ees' - may get us arrested, we can find other ways to legally harass these execu-thieves, AND also their wives & their kids & pets & friends & neighbors. It's not an orignial idea, I learned it from studying and visiting the USSR.

BACK IN THE USSR...when a person was declared an "Enemy of the People," the accused's family was punished also. I suggest to harass the whole bunch until they all end up medicated on SSRI's, benzodiazepides, thorazine, haloperidol, perphenazine, etc.

Let's re-program the Ivy-league bound 'little Gordy Gekko,Jr.' into a little altruistic basket-case, condition him to spout 'Greed is Bad," and "Raise the minimum wage!" and other execu-thief heresies you don't hear at the local country club.

Wait just a minute? Harrass their wives and kids you ask? Isn't that taking it a little too far? Nahhh, here's another idea for my 'modest proposal', NKVD Order No. 00486
So...let's declare these crooks 'enemies of the people,' and go after them and their families, etc.

Let's stop being American sheeple and restore integrity to our financial system, as well as our corrupt government --- so as of today, Sen. Dodd is hereby declared the first 'enemy of the people.'

But, my fellow Americans, can we in good conscience harass not just the guilty execs but their families (and pets) too?

YES! WE CAN! - just call it 'collateral damage'
